BY ENTERING THE SWEEPSTAKES EACH ELIGIBLE ENTRANT AGREES TO THESE OFFICIAL RULES.

1. Eligibility:

   Only licensed teachers who are 18 years of age or older and are pre-k through 12^th grade teachers at any private or public school that is located in the Eligible Area (defined below) (each, an “Eligible Entrant”) can submit an entry in the Habit Burger & Grill Teacher Appreciation Sweepstakes (the “Sweepstakes“). To be deemed an “Eligible Area,” the school where the Eligible Entrant teaches must be located within 10 miles of a Habit Burger & Grill location within one of following zip codes: Phoenix (85283, 85020, 85003, 85392, 85031, 85029, 85339, 85032, 85388, 85212, 85142); Sacramento (95746, 95670, 95832, 95677, 95822, 95816, 95747, 95682, 95758, 95825, 95630, 95219, 95242, 95630, 95678, 95610, 96002, 95991, 95926, 95901, 95648); Florida (33174, 33027, 33015, 33322, 33157, 33496, 33483, 33411, 33403, 33418, 33470, 32224, 32256); Maryland (21204, 20601, 20877, 20852, 20720, 20737); New Jersey (07645, 07661, 07608, 07410, 08002, 07003, 08690, 08648, 08816, 07724, 07960, 07932, 07054, 07470, 08805, 07083, 07014, 07631, 07001) Virginia (23235, 20151, 20147, 22407, 23452) or Pennsylvania (19406). Please note, by submitting an entry, the Eligible Entrant understands that they are submitting an entry on behalf of themselves AND the school where they teach. This Sweepstakes is not open to the general public. Void outside of the Eligible Areas and where prohibited by law. No purchase necessary to enter the Sweepstakes  Employees of Habit Burger & Grill, 1 Glen Bell Way, Irvine, CA 92618 (the “Sponsor“), and any of their respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production execution or distribution of the Sweepstakes (collectively with Sponsor the “Released Parties”), and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and household members of each such employee are not eligible to enter or win. The Sweepstakes is subject to all applicable federal, state and local laws and regulations.  Participation constitutes Eligible Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes.  Winning a prize is contingent upon fulfilling all requirements set forth herein.

2. Sweepstakes Period:

   The Sweepstakes starts at 12:00:00 AM Pacific Time (“PT”) on April 22, 2026, and ends at 11:59:59 PM ET on May 8, 2026 (“Sweepstakes Period”).

3. Entry Pools and How to Enter:

   This Sweepstakes will be broken out into five (5) separate entry pools based on the Eligible Area the Eligible Entrant’s school is located in, as follows (each, an “Entry Pool”):

   • Phoenix Entry Pool
   • Sacramento Entry Pool
   • Florida Entry Pool
   • Maryland & Virginia Entry Pool
   • New Jersey & Pennsylvania Entry Pool

   To enter, scan the QR Code promoting the Sweepstakes on the Teacher Appreciation Flyer (“Flyer”) received directly or from a School in an Eligible Area. To enter the Sweepstakes for their Entry Pool, Eligible Entrants must scan the QR Code on the Flyer which leads to the Sweepstakes landing page (hereinafter, the “Website”). Once on the Website, Eligible Entrants must complete and submit the entry form to receive one (1) entry into their Eligible Area’s Entry Pool. All entries must be received by 11:59:59 PM PT on May 8, 2026, to be eligible. Limit one (1) entry per Eligible Entrant during the entire Sweepstakes Period. Sponsor is not responsible for any technical glitches that may interfere with submitting an entry.

4. Random Drawings and Winner Notifications:

   On or about May 11, 2026, one (1) potential Grand Prize winner from each Entry Pool will be randomly selected by Sponsor from among all eligible entries receive in the applicable Entry Pool. Each Eligible Entrant who submitted the potential Grand Prize-winning entry (hereinafter, the potential “Winning Teacher”) will be notified by Sponsor via email on or about the day of the they are selected as a potential Grand Prize winner (each, a “Winner Notification”). Each potential Grand Prize-Winning Teacher must respond to the Winner Notification within 24 hours from Sponsor sending the Winner Notification in order to verify their eligibility and provide the Sponsor with an authorized person from the school listed on the potential Grand Prize-Winning Teacher’s entry form (each, al “Winning Teacher’s School”). If any potential Grand Prize-Winning Teacher fails to respond to the Winner Notification with the 24-hour deadline, they will forfeit their right to be that Entry Pool’s Grand Prize-Winning Teacher, and an alternate winner may be selected for that Entry Pool, time permitting, at Sponsor’s sole discretion.

   Upon Sponsor’s receipt of each Winning Teacher’s verification email, Sponsor will then send the Winning Teacher’s School a Winner Notification, and the Winning Teacher’s School must respond to such Winner Notification within 24 hours from Sponsor sending it, to verify acceptance of the Winning Teacher’s School portion of the Grand Prize. If any potential Winning Teacher’s School fails to respond to their Winner Notification in the 24 hour time period, or declines their portion of the Grand Prize, that potential Winning Teacher’s School forfeits their right to their portion of the Grand Prize, which will then go unawarded for that Entry Pool (i.e., only the Winning Teacher portion of the Grand Prize for that Entry Pool will be awarded).

   Sponsor may select up to three (3) alternate Grand Prize-Winning Teachers for each Entry Pool. In the event the Sponsor is unable to award a Grand Prize after attempting to award the Grand Prize to the original potential Grand Prize-Winning Teacher and up to three (3) alternates, the Grand Prize for that Entry Pool will not be awarded. Odds of winning depend on the total number of entries received during the entire Sweepstakes Period in an applicable Entry Pool.

5. Prizes and Approximate Retail Values (“ARVs”) – Five (5) Grand Prizes (one (1) per Entry Pool, based on the Eligible Area of the Winning Teacher):
   • One (1) Phoenix Entry Pool Grand Prize: A check/cash for $500.00 for the Winning Teacher; and a Habit Burger & Grill Teacher Appreciation Food Truck Lunch for up to 150 staff members of the Winning School (to be awarded to the School), valued at $2,500.00. ARV: $3,000.00.
   • One (1) Sacramento Entry Pool Grand Prize: A check/cash for $500.00 for the Winning Teacher; and a Habit Burger & Grill Teacher Appreciation Food Truck Lunch for up to 150 staff members of the Winning School (to be awarded to the School), valued at $2,500.00. ARV: $3,000.00.
   • One (1) Florida Entry Pool Grand Prize: A check/cash for $500.00 for the Winning Teacher; and catered lunch at the Winning School from Habit Burger & Grill for 50 teachers at the Winning School (to be awarded to the School), valued at $750.00. ARV: $1,250.00.
   • One (1) Maryland and Virginia Entry Pool Grand Prize: A check/cash for $500.00 for the Winning Teacher; and catered lunch at the Winning School from Habit Burger & Grill for 50 teachers at the Winning School (to be awarded to the School), valued at $750.00. ARV: $1,250.00.
   • One (1) New Jersey & Pennsylvania Entry Pool Grand Prize: A check/cash for $500.00 for the Winning Teacher; and catered lunch at the Winning School from Habit Burger & Grill for 50 teachers at the Winning School (to be awarded to the School), valued at $750.00. ARV: $1,250.00.
   • Total ARV of all Grand Prizes is $9,750.00.

   Please note: Winning Teacher will only be required to pay the applicable taxes associated with the $500 check/cash portion of the Grand Prize; the Winning School will be required to pay any applicable taxes associated with Winning Teacher’s School portion of the Grand Prize. The Winning Teacher’s School portion of each Grand Prize must occur no later than May 22, 2026, on a mutually agreed upon date and time, or the Winning Teacher’s School portion of the Grand Prize will be forfeited and not be awarded. Specific menu items are at Sponsor’s sole discretion. Once scheduled, the Winning Teacher’s School portion of the Grand Prize will occur on the date scheduled, rain or shine, and may not be rescheduled for any reason by the Winning Teacher’s School, but may be rescheduled by Sponsor at Sponsor’s sole discretion, for any reason.

   Prize elements are non-transferable, not substitutable and not redeemable for cash. Sponsor may substitute the Grand Prize, or portion thereof, for one of equal or greater value at Sponsor’s sole discretion for any reason. To be eligible to receive a Grand Prize, the Winning Teacher and the Winning Teacher’s School will be required to provide Sponsor with the prize release documents in accordance with the terms set forth in Official Rule #6 below as a condition of and prior to issuance of the Grand Prize. The Grand Prize winners must meet the eligibility requirements as set forth in Paragraph 1 of these Official Rules.

6. Claiming a Grand Prize:

   In order to collect the Winning Teacher’s portion of each Grand Prize, each Grand Prize Winner Teacher will be required to attest to and confirm their eligibility to Sponsor within 48 hours of sending their response to the Winner Notification (as set forth in Official Rule #4 above) back to Sponsor. If a Winning Teacher fails to confirm their eligibility and compliance of the Official Rules within 48 hours from responding to the initial applicable Winner Notification, that Winning Teacher forfeits their right to their right to the Grand Prize, including their Winning Teacher’s School portion of the Grand Prize

   In order to collect the Winning Teacher’s School portion of the Grand Prize, the Winner Teacher’s School will be required to have an authorized representative of the Winning School attest to and confirm their eligibility and compliance with these Official rules, and a may be required to provide a completed W9 tax form to Sponsor within 48 hours of sending their response to the Winner Notification (as set forth in Official Rule #4 above) back to Sponsor. If the Winning Teacher’s School fails to respond or comply with these requests within 48 hours responding to the initial applicable Winner Notification, the Winning Teacher’s School forfeits their right to their portion of the Grand Prize, which will then not be awarded.

   Upon receipt of the release documents described above, Sponsor will reach out to each Grand Prize Winning Teacher and their Winning Teacher’s School to coordinate how each Grand Prize winner will receive their portion of the Grand Prize.

7. Participation Conditions/Release/Consent to use Likeness:

   By participating, each Eligible Entrant and each Winning Teacher’s School agrees to: (a) comply with and be bound by these Official Rules and the decisions of the Sponsor which are binding and final in all matters relating to this Sweepstakes; (b) release and hold harmless the Released Parties from and against any and all claims, expenses, and liability, including, but not limited to, negligence and damages of any kind to persons and property, including, but not limited to, invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant’s participation in this Sweepstakes, and acceptance or use or misuse of prize; (c) indemnify, defend and hold harmless the Released Parties from and against any and all claims, expenses, and liabilities (including reasonable attorney’s fees) arising out of or relating to an Eligible Entrant’s participation in the Sweepstakes and/or a Winning Teacher and Winning Teacher’s School’s acceptance, use or misuse of their portion of the Grand Prize; and (d) allow Sponsor’s use for promotional purposes of his/her likeness, voice and/or address (city/state) without any additional compensation.

8. General Conditions:

   Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, for any reason whatsoever, including, without limitation, fire, flood, natural or man-made pandemic or epidemic of health or other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction or if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the participation process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other Sweepstakes or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Only the type and quantity of prize described in these Official Rules will be awarded.  The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision.  In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

9. Limitations of Liability:

   The Released Parties as set forth above are not responsible for: (1) any incorrect or inaccurate information, whether caused by Eligible Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited, to malfunctions, interruptions or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the participation process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of phone calls; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Eligible Entrant’s or a Winning Teacher’s School’s participation in the Sweepstakes or receipt or use or misuse of a Grand Prize.

10. Privacy Policies and Data Collections:

    Information provided by you for this Sweepstakes on the entry form is subject to Sponsor’s privacy policy at: https://privacy.habitburger.com/policies.. By entering this Sweepstakes, each Eligible Entrant agrees that the Sponsor has the right to contact the Eligible Entrant by phone, direct message, or email accounts provided on the entry form to administer and fulfill this Sweepstakes.

11. Disputes/Governing Law:

    Eligible Entrant and each Winning Teacher’s School agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, other than those concerning the administration of the Sweepstakes or the determination of Winner or for any disputes arising from the loss or injury from the participation in a Prize, shall be resolved individually, without resort to any form of class action; (ii) any disputes arising out of these Official Rules (except for any disputes arising from the loss or injury from the use of Prizes) shall be submitted to final, binding arbitration conducted in California under the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services Inc. before a single, neutral arbitrator who is a former or retired California state or federal court judge with experience in entertainment matters who shall follow California law and the Federal Rules of Evidence and have no authority to award punitive damages. Either party may enforce a final arbitration award in any court of competent jurisdiction in California, including an award of costs, fees and expenses incurred in enforcing the award. Notwithstanding the foregoing, Released Parties shall be entitled to seek injunctive relief (unless otherwise precluded by any other provision of these Official Rules) in the state and federal courts of California. Any dispute or portion thereof, or any claim for a particular form of relief (not otherwise precluded by any other provision of these Official Rules), that may not be arbitrated pursuant to applicable state or federal law may be heard only in a court of competent jurisdiction in California; (iii) any and all claims, judgments and awards shall be limited to actual out-of- pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (iv) under no circumstances will Eligible Entrant be permitted to obtain awards for, and Eligible Entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out- of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Eligible Entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
