A PURCHASE OR PAYMENT WILL NOT INCREASE AN ENTRANT’S CHANCES OF WINNING.

 

NOTICE REGARDING DISPUTE RESOLUTION: These Official Rules contain terms that govern how claims between you and The Habit Restaurants, LLC, relating to your participation in this Sweepstakes will be resolved. For example, Section 13 includes an arbitration agreement and waiver of a class action that requires you to submit all claims to arbitration (instead of going to court before a judge and jury) and limits your ability to bring claims only in an individual capacity (and not as part of or on behalf of any class action or purported collective or representative claim or proceeding). Please read these provisions carefully as they affect your legal rights. You acknowledge that you have read and agree to be bound by these Official Rules.

  1. ELIGIBILITY.

    This Sweepstakes is open only to individuals who are legal residents of the Greater-Phoenix area of Arizona, who are eighteen (18) years of age or older at the time of entry (each, an “Eligible Entrant”). Void where prohibited. The Sweepstakes is subject to all applicable federal, state, and local law and regulations. Sponsor’s Terms of Use apply in addition to these Official Rules, found at https://www.habitburger.com/terms-conditions.  Employees, contractors, officers and directors of Sponsor, Administrator, and their respective affiliates, parent companies, subsidiaries, suppliers, distributors, independent contractors (including Habit influencers and content creators) and advertising and promotional agencies (collectively, the “Sweepstakes Entities”), and members of the immediate families (spouse and biological, adoptive or step-parents, grandparents, children, grandchildren and siblings, and each of their respective spouses regardless of where they reside) or households (whether related or not) of any of the above individuals are not eligible to participate in the Sweepstakes.

 

  1. WHEN TO ENTER.

    The Sweepstakes will begin at 12:00:00 AM Mountain Standard Time (“MST”) on June 13, 2026, and end at 11:59:59 MST on August 1, 2026 (“Sweepstakes Period”).

 

  1. HOW TO ENTER.

    To enter this Sweepstakes, Eligible Entrants visit the Sweepstakes entry page directly at https://order.habitburger.com/registration-prompt/summer-soccer-az (“Website”) during the Sweepstakes  Period, or; find the Sweepstakes QR Code on flyers posted in the Greater-Phoenix area during the Sweepstakes Period where they can scan the QR Code with their smart phone, which will take them to the Website. Once on the Website, Eligible Entrants can find, complete and submit the Sweepstakes entry form to receive one (1) entry into the Sweepstakes random drawing. Entries must be submitted by 11:59:59 MST on August 1, 2026, to be eligible for the random drawing. Sponsor is not responsible for any technical glitches or other issues interfering with an Eligible Entrant’s ability to enter through the Website or issues with the QR Code. Limit one (1) entry per Eligible Entrant during the entire Sweepstakes Period.

 

  1. HOW WINNERS ARE SELECTED/RANDOM DRAWINGS/WINNER NOTIFICATIONS & VERIFICATIONS.

    On or about August 3, 2026, Sponsor or Administrator will randomly select one (1) potential Grand Prize winner and fifty (50) potential First Prize winners, from among all eligible entries received during the Sweepstakes Period. Odds of being selected as the potential winner depend on the number of eligible entries received during the Sweepstakes Period. Sponsor’s decisions as to the administration and operation of the Sweepstakes and the selection of the potential Winners is final and binding in all matters related to the Sweepstakes. The potential winners will each be contacted by Sponsor or Administrator via the email address provided on the potential winner’s entry form, on or about the day they are selected as a potential winner (the “Winner Notification”). The potential winner must respond to the Winner Notification message within twenty-four (24) hours of the Sponsor or Administrator sending the Winner Notification message. Failure to respond to the Winner Notification within the 24-hour deadline for any reason may result in disqualification and an alternate potential Winner may be selected, time permitting, at Sponsor’s sole discretion. Sponsor may select up to three (3) alternate potential winners per Prize, time permitting. In the event the Sponsor is unable to award the Prize after attempting to award the Prize to the original potential winner and up to three (3) alternates, that Prize will not be awarded. Sponsor is not responsible for any technical issues or a potential Prize winner’s failure to receive or respond to any Winner Notification message for any reason, including but not limited to any technical glitches, incorrect email addresses provided, emails that go into a SPAM or junk folder, are unanswered, or any other reason interfering with the Winner Notification process.

Winner Verification: Upon Sponsor’s or Administrator’s receipt of each potential winner’s response to the Winner Notification, the Sponsor or Administrator may also email each potential winner an affidavit of eligibility and/or liability and publicity release (where legal), (collectively, the “Release Documents”). If required, the winners must complete, sign and return the Release Documents within two (2) business days of Sponsor or Administrator sending the Release Documents, or will forfeit their right to the Prize, and an alternate may be randomly selected from among all remaining eligible Entries, at Sponsor’s sole discretion, time permitting.

 

  1. PRIZES & APPROXIMATE RETAIL VALUES (“ARVs”).

One (1) Grand Prize –  One (1) VIP Field Experience at a Sponsor-specified Phoenix Rising Soccer home match, which includes up to four (4) sideline match tickets for the winner and up to three (3) guests, along with food and beverages during the match at a Sponsor-specified match during the regular 2026 soccer season; one (1) Habit Burger & Grill Soccer Ball; one (1) Phoenix Rising Car Magnet, and a $50.00 Habit Gift Card. ARV: $500.00. In addition to the VIP Field Experience, Soccer Ball, Car Magnet and Gift Card, Sponsor will also donate a Habit Burger & Grill Food Truck visit to a Greater Phoenix area non-profit youth soccer league of the Grand Prize winner’s choosing (subject to Sponsor’s approval) (“Selected Youth League”), to occur at a mutually agreed upon location and on a mutually agreed upon date in 2026. The Grand Prize winner agrees to work with the Sponsor to assist Sponsor in connecting with the Selected Youth League and scheduling the Food Truck visit. The Food Truck will include Sponsor-specified items to be donated to up to 150 Selected Youth League members and families. The Grand Prize winner must provide Sponsor with the Selected Youth League in their Release Documents in accordance with the deadline set forth in Official Rule #5 or will forfeit their right to receive the Food Truck donation portion of the Grand Prize. To be eligible for the Food Truck donation portion of the Grand Prize, the Selected Youth League must be a 501 (c) (3) non-profit organization and located within the Greater Phoenix area. The Grand Prize winner will not be responsible for the taxes associated with the Food Truck donation portion of the Grand Prize, which is not included in the ARV stated above. In the event the Grand Prize winner does not select and indicate what his or her Selected Youth League is in the Release Documents by the deadline set forth in Official Rule #5, or in the event Sponsor is unable to connect with or agree to a date and location for the Food Truck visit and donation, the Food Truck visit and donation will not occur and Sponsor shall have no obligation, liability or responsibility to provide the Food Truck visit and donation, and that portion of the Grand Prize will be forfeited and go unawarded.

 

Fifty (50) First Prizes, – Two (2) tickets to a Sponsor-specified Phoenix Rising Soccer home match during the 2026 regular season (the date to be determined by Sponsor at its sole discretion); a Habit Burger & Grill soccer ball; and a $50.00 Habit Burger & Grill gift card. ARV: $200.00 each.

 

The total ARV for all Prizes is $10,500.00.

Transportation and parking are not included as part of any Prize. Seat locations are at Sponsor’s sole discretion. Sponsor is not responsible if any match is postponed, delayed or canceled for any reason, and in such an event, the Prize will not be awarded. The Habit Gift Card is not redeemable at the Stadium, and is subject to the terms, conditions and restrictions printed on the card.

 

Prize winners are solely responsible for any costs and expenses associated with the Prize that are not specified herein, including but not limited to all transportation and lodging costs. No substitution, cash alternative, or assignment or transfer of the Prize is permitted by the Grand Prize winner. Sponsor may substitute the Prize, or portion thereof, for a one of equal or greater value at its sole discretion for any reason. Prize winners are solely responsible for any local, state or federal taxes associated with the Prize.

 

  1. CLAIMING THE PRIZES:

    Upon Sponsor or Administrator’s receipt of the Grand Prize winner’s Release Documents, if required, Sponsor or Administrator will work directly with the Grand Prize winner (in a manner to be solely determined by Sponsor) to assist the Grand Prize winner with how to claim the Grand Prize. Upon Sponsor’s or Administrator’s receipt of a First prize winner’s response to the Winner Notification, the Sponsor or Administrator will email each First Prize winner with the date the tickets are valid (“Match Date”), along with instructions as how to claim the First Prize at Will Call at the stadium on the Match Date. A valid ID will be required in order for any First Prize winner to claim their First Prize at Will Call, which must be claimed by the end of the first half of the Match, or will the First Prize will be forfeited in its entirety. In the event a First Prize winner does not have a valid ID on the Match Date required to claim the First Prize at Will Call, that winner will forfeit their right to claim the First Prize in its entirety, which will then go unawarded.

 

  1. TAMPERING AND DELIVERY DISCLAIMER.

    The Sponsor, in its sole discretion, reserves the right to disqualify and prohibit from participating (and void such person’s Entry) any person, who the Sponsor determines (in its sole discretion) is or is attempting to: (i) tamper with any part of the Sweepstakes; (ii) undermine the legitimate operation of the Sweepstakes by cheating, deception, or other unfair playing practices, (iii) or intending to annoy, abuse, threaten or harass any other entrants, the Sponsor, or the Released Parties or exhibits other unsportsmanlike behavior; and/or (iv) otherwise violate these Official Rules or the Terms of Use of the Sponsor’s Website. The use of any automated device, automated launching or entry software or any other mechanical or electronic means that permits the entrant to automatically enter or evaluate repeatedly is prohibited. The Sponsor disclaims all liability for any delays, misdelivery, loss, or failure in the delivery of any item sent by mail, courier, express, electronic transmission, or other delivery method.

 

Released Parties are not responsible for typos or misprints in these Official Rules, in any Sweepstakes-related advertisement or other materials, technical or human error which may occur in the administration of the Sweepstakes, or the processing of Entries.

 

The Sponsor further reserves the right to: (i) cancel, terminate, suspend, declare null or void, amend, alter, or modify the Sweepstakes, void any suspicious Entries, rescind the Grand Prize, and/or determine absolute resolution, and/or an alternate method of conducting the Sweepstakes and/or awarding the Grand Prize at any time, for any reason, or if, in the sole discretion of the Sponsor, it is impossible or impractical to complete or conduct the Sweepstakes as planned for any reason, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures of any sort, programming associated with or used in the Sweepstakes, by any human error which may occur in the execution of this Sweepstakes, or any other causes which effect the operation of the Sweepstakes or the rules of the integrity of the Sweepstakes have been violated or compromised in any way, intentionally or unintentionally by any person whether or not an entrant in the Sweepstakes and/or (ii) stop or conclude the Sweepstakes at any time without prior notice. Material changes to the Official Rules will be published where practical. In the event of termination of the Sweepstakes by Sponsor, Sponsor reserves the right to award any prize(s) in a manner deemed fair and equitable by Sponsor.

 

  1. PUBLICITY.

    Except where prohibited, by accepting the Grand Prize, the Grand Prize winner grants the Sponsor permission to use their name, character, image, voice, and likeness worldwide, in perpetuity, in any and all media now known or hereinafter invented in any and all marketing and promotional materials and waive any claims to royalty, right, or remuneration for such use at Sponsor’s sole discretion. The Grand Prize winner’s name may be included in a publicly available winner’s list.

 

  1. USE OF PERSONAL INFORMATION.

    The Sponsor will retain the Eligible Entrant’s personal data for a reasonable period of time to enable it to send that Eligible Entrant the Grand Prize and/or to verify that these Official Rules have been complied with, and for accounting purposes. This data may be passed to a third party to enable such third party to fulfill any necessary requirements relating to the award of a prize. Any other use of personal data will be in accordance with, and subject to, the Sponsor’s Privacy Policy found on the Website.

 

  1. RELEASES, CONDITIONS, AND LIMITATIONS OF LIABILITY.

    By participating in the Sweepstakes, each entrant agrees to release and waive any and all claims of liability against the Sweepstakes Entities and any applicable third party fulfillment service, and each of their respective employees and agents (collectively, the “Released Parties”) from and against from any and all liability, loss or damage (including personal injury or death) incurred with respect to the conduct of or participation in the Sweepstakes, or the awarding, shipping/handling, receipt, possession, and/or use or misuse of any prize, including any travel related thereto. By accepting the prize, winner(s) hereby agrees that: (i) to release each of the Released Parties from any and all claims in connection with the Sweepstakes and the award or use of the prizes; and (ii) where allowed by law, sign a publicity release confirming consent to use the winner’s name/likeness prior to acceptance of the prize. The Released Parties are not responsible or liable to any Eligible Entrant or winner or any person claiming through such Eligible Entrant or winner for failure to supply the prize or any part thereof, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, volcanic eruption, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal) labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond the Sweepstakes Entities’ sole control. Upon awarding the prize, the Sponsor will have no further obligation to winner.

 

  1. TAXES.

    Any valuation of the Grand Prize stated above is based on available information provided to the Sponsor, and the value of any actual Grand Prize awarded to the Grand Prize winner may be reported to the IRS as required by law via a Form 1099. A Form 1099 will be issued to all applicable tax authorities for any individual winning prizes from Sponsor totaling $2,000 or more in value cumulatively, in a single calendar year. Winners are solely responsible for reporting the value of all prizes received as income, regardless of the amount or whether a Form 1099 is issued.

 

  1. CONDUCT AND DECISIONS.

    All decisions of the Sponsor will be final and binding on all matters relating to this Sweepstakes. Persons who violate any rule, gain unfair advantage in participating in the Sweepstakes, or obtain winner status using fraudulent means will be disqualified. The Sponsor will interpret these Rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Sweepstakes and the Sponsor’s decisions concerning such disputes shall be final.

 

  1. BINDING ARBITRATION.

    By participating in this Sweepstakes, Eligible Entrant and Sponsor agree that disputes that cannot be resolved informally shall be resolved through binding individual arbitration with limited exceptions, as fully described in Section 3 of the Habit Burger & Grill Terms of Use, which are expressly incorporated by reference.  As described in those terms, Eligible Entrant and Sponsor agree that the arbitrator may award the same relief available in court provided that such relief (including declaratory or injunctive relief) shall only be in favor of the individual party seeking relief and only to the extent necessary to provide the relief warranted by that party’s individual claim. ELIGIBLE ENTRANT AND SPONSOR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN THEIR INDIVIDUAL CAPACITIES AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING IN ARBITRATION OR IN LITIGATION. FURTHER, UNLESS THE PARTIES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE ANY PERSON’S OR ENTITY’S CLAIMS WITH THOSE OF ANOTHER PERSON OR ENTITY AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. IF AFTER EXHAUSTION OF ALL APPEALS ANY OF THESE PROHIBITIONS ON NON-INDIVIDUALIZED RELIEF; CLASS, REPRESENTATIVE, COLLECTIVE, AND PRIVATE ATTORNEY GENERAL CLAIMS; AND CONSOLIDATION IS FOUND TO BE UNENFORCEABLE AS TO A PARTICULAR CLAIM OR WITH RESPECT TO A PARTICULAR REQUEST FOR RELIEF (SUCH AS A REQUEST FOR INJUNCTIVE RELIEF), THEN THE PARTIES AGREE THAT SUCH A CLAIM OR REQUEST FOR RELIEF SHALL BE DECIDED BY A COURT AFTER ALL OTHER CLAIMS AND REQUESTS FOR RELIEF ARE ARBITRATED. Notwithstanding the foregoing, either party retains the right to have a dispute heard in small claims court provided the dispute falls within the jurisdictional limits of that court and otherwise qualifies for that court, seeks individualized relief, and so long as the action remains in that court and is not removed or appealed to a court of general jurisdiction.

 

  1. MISCELLANEOUS.

    Sponsor reserves the right to determine eligibility should special circumstances arise. Sponsor’s decisions are final and binding. Sponsor disclaims any responsibility to notify Eligible Entrants of any aspect related to the conduct of the Sweepstakes. As a condition of participating in the Sweepstakes, Eligible Entrants agree (and agree to confirm in writing) that: (a) under no circumstances will Eligible Entrant be permitted to obtain costs, judgments, or awards for, and Eligible Entrant hereby knowingly and expressly waives all rights to claim or seek punitive, incidental, consequential, special, or any other damages, other than for actual, third-party out-of-pocket expenses, and in such limitation, Eligible Entrant further waives any rights to have damages multiplied or otherwise increased; (b) any and all disputes, claims, or causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, through binding arbitration as set forth above, without resort to any form of class action; and (c) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred (if any), excluding attorneys’ fees and court costs. Some jurisdictions do not allow the limitations or exclusion of liability, so the above may not apply to every Eligible Entrant. Participation in the Sweepstakes constitutes Eligible Entrant’s full and unconditional agreement to, and acceptance of these Official Rules. Winning a prize is contingent upon Eligible Entrant’s fulfillment of all requirements set forth herein.

 

  1. COMPLIANCE WITH LAW AND GOVERNING LAW.

    All issues and questions concerning the construction, validity, interpretation and enforceability of the Sweepstakes’ Official Rules, or the rights and obligations of Eligible Entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A., without giving effect to the conflict of laws rules thereof, and any matters or proceedings which are not subject to arbitration as set forth in Section 13 (Binding Arbitration) of these Official Rules and/or for entering any judgment on an arbitration award, shall take place in the State of California, in the County of Orange.
